Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vault Desk (the “Service”), provided by Vault Desk (“Vault Desk”, “we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Vault Desk is a zero-knowledge, end-to-end encrypted cloud storage service for web and mobile. Your files and file/folder names are encrypted on your device before upload; we store only ciphertext and wrapped keys we cannot read.
2. Eligibility & accounts
- You must be at least 16 years old and able to form a binding contract.
- You are responsible for your account, your password, and especially your recovery key, and for all activity under your account.
- You agree to provide accurate information and to keep your credentials secure.
3. Acceptable use
You agree not to use the Service to:
- store, share, or transmit content that is illegal, infringes others’ rights, or that you have no right to store;
- distribute malware, or engage in fraud, phishing, spam, or other abuse;
- violate others’ privacy or any applicable law (including export-control and sanctions laws);
- attempt to breach or probe security, disrupt, overload, or reverse-engineer the Service;
- resell or provide the Service to third parties except as expressly permitted.
Because your content is end-to-end encrypted, we cannot and do not proactively monitor it. We rely on reports and may suspend or terminate accounts for violations we become aware of.
4. Your content & ownership
- You retain all rights to the content you store. We claim no ownership of it.
- You grant us a limited license solely to store, transmit, and process your (encrypted) content as necessary to operate the Service.
- You are solely responsible for your content and for having the rights necessary to store it.
5. Plans, billing & subscriptions
- We offer a free plan and paid plans with associated storage quotas (see our pricing page).
- Paid subscriptions are billed through our payment processor, Polar, on a recurring basis (e.g., monthly) until cancelled.
- Prices may change; we will give reasonable notice, and changes apply to your next billing cycle.
- You may cancel at any time; paid features remain available until the end of the current billing period. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
- Exceeding your plan’s storage quota may prevent further uploads until you upgrade or free up space.
- Applicable taxes may be added; Polar may act as Merchant of Record and handle tax collection.
6. Availability & changes
We aim for high availability but provide the Service “as is” and “as available,” without uptime guarantees unless set out in a separate written SLA. We may add, modify, suspend, or discontinue features with reasonable notice.
7. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your account for breach of these Terms, legal requirements, or risk to the Service or others.
- On termination, your data may be deleted after a 30-day grace period — please export anything you need beforehand.
8. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data loss will not occur. You are responsible for safeguarding your recovery key and for keeping your own backups of critical data.
9. Limitation of liability
To the maximum extent permitted by law, Vault Desk and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD 50.
10. Indemnification
You agree to indemnify and hold harmless Vault Desk from claims, damages, and expenses arising out of your content or your breach of these Terms.
11. Governing law & disputes
These Terms are governed by the laws of Greece, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts of Athens, Greece.
12. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
